Terms of Service

By installing the Vanguard CS wallet, accepting these Terms, or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

Throughout these Terms, “Vanguard CS,” “we,” “us,” and “our” refer to Vanguard Cloud Services.

1. The Service

Vanguard CS provides a decentralized digital identity credential that is stored in a secure wallet on your device. The credential enables you to present verified identity attributes to organizations that choose to accept Vanguard CS credentials.

Except where required for service operation, credential information is not stored in a centralized identity database or on a public blockchain.

Our collection and use of personal information are governed by our Privacy Policy, which forms part of these Terms.

2. Eligibility

You must:

• be at least 18 years of age;
• have the legal capacity to enter into a binding agreement; and
• comply with all applicable laws when using the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Your Credential and Wallet

Your credential is issued specifically to you and may not be transferred, shared, sold, or used by another person.

You are solely responsible for:

• securing your device;
• protecting your wallet;
• maintaining any passwords, passcodes, biometric authentication, recovery phrases, or recovery keys; and
• preventing unauthorized access.

If your device is lost, stolen, compromised, or you believe your credential has been misused, you must notify us as soon as reasonably possible so appropriate action, including credential revocation, can be considered.

Because Vanguard CS is designed to give users control over their credentials, we may be unable to recover credentials or wallet contents if recovery information is lost or destroyed.

4. Acceptable Use

You agree not to:

• use the Service for unlawful, fraudulent, deceptive, or malicious purposes;
• impersonate another person or present credentials that do not belong to you;
• interfere with, disrupt, or compromise the availability or security of the Service;
• attempt to bypass authentication, verification, revocation, or audit mechanisms;
• reverse engineer, decompile, or otherwise attempt to extract source code except where such activity is expressly permitted by applicable law; or
• use the Service in any manner that infringes the rights of others.

5. Identity Verification and Third-Party Organizations

Organizations that choose to accept Vanguard CS credentials independently determine:

• whether they will accept a Vanguard CS credential;
• what attributes they require;
• what access or privileges they grant; and
• how they process information presented to them.

Vanguard CS does not control these decisions and is not responsible for the policies, actions, or decisions of third-party organizations.

Where supported by the Service, credential presentation may use privacy-enhancing technologies such as selective disclosure or cryptographic proofs to minimize the amount of information shared.

6. Credential Status, Suspension, and Revocation

We may suspend or revoke a credential where we reasonably believe:

• these Terms have been violated;
• fraud or unauthorized use has occurred;
• revocation has been requested through an authorized process;
• continued use presents a security risk; or
• revocation is required by law.

Where appropriate, the Service may maintain a record that a credential has been revoked or is no longer valid. Such records are maintained solely to support credential verification, audit, security, or legal compliance.

7. Availability and Development

The Service is provided on an “as available” basis.

Because Vanguard CS is under active development:

• features may change or be removed;
• credentials or development data may be reset;
• compatibility between software versions is not guaranteed; and
• uninterrupted service is not guaranteed.

We may suspend or discontinue any portion of the Service without liability.

8. Privacy

Our Privacy Policy explains:

• what personal information we collect;
• what technical and operational metadata may be collected;
• how information is used;
• how long information is retained; and
• your rights regarding your personal information.

Organizations that receive information through your credential are responsible for their own privacy practices and policies.

9. Intellectual Property

The Service, including software, documentation, trademarks, branding, graphics, and related intellectual property, is owned by Vanguard Cloud Services or its licensors.

These Terms grant you only a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.

Nothing in these Terms transfers ownership of any intellectual property.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted availability;
• accuracy;
• reliability; and
• security against every possible threat or attack.

We do not guarantee that the Service will satisfy your requirements or that third parties will accept Vanguard CS credentials.

11. Limitation of Liability

To the fullest extent permitted by law, Vanguard Cloud Services and its affiliates, officers, directors, employees, contractors, and suppliers shall not be liable for:

• indirect, incidental, consequential, special, or punitive damages;
• loss of profits, business opportunities, goodwill, or reputation;
• loss of data or credentials;
• unauthorized access to your device resulting from your failure to secure it; or
• decisions made by organizations that accept or reject your credential.

Our total aggregate liability arising from or relating to the Service shall not exceed CAD $1.00.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, liability will be limited only to the extent permitted by applicable law.

12. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the Service or by other reasonable means.

Your continued use of the Service after revised Terms become effective constitutes acceptance of those revised Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal proceeding relating to these Terms shall be brought exclusively before the courts located in Ontario, Canada, unless applicable law requires otherwise.
